License Agreement

Last updated October 10, 2026

This document is a plain-English draft and should be reviewed by qualified counsel before being relied upon.

This End-User License Agreement (“Agreement”) is between you and TigerCodes, LLC (“we”, “us”) and governs your use of the TigerTradeBot software, including updates and documentation (the “Software”). By installing or using the Software, you accept this Agreement. The website, customer portal and subscriptions are governed separately by the Terms of Service.

1. License grant

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software for your own trading and research, for as long as you hold a valid license key. The license is per trader: one individual may install the Software on the machines they personally use (for example, a desktop and a laptop), subject to any limit on simultaneous computers that applies to your license. It is not a floating seat, a team license, or a right to operate the Software on behalf of others.

2. License types and entitlements

  • Free paper-trading license. A paper-trading license that lasts 12 months from issue, one per email address. Paper trading only: orders are simulated, and nothing is sent to a broker. It can’t be renewed or claimed again with the same email address. When it ends, the Software stops operating until you hold a paid license.
  • Subscription. An active Lite or Ultimate subscription, per the Terms of Service, entitles the licensed individual to enable live order routing to their connected brokers. When a subscription is cancelled or lapses, the license expires at the end of the paid period and the Software stops operating until you subscribe again. No local data is deleted or withheld.

The Software checks the validity of your license with our license server when it starts and periodically while it runs, and stops operating if the license is expired, revoked or can’t be confirmed.

3. Restrictions

Except where applicable law grants you rights that cannot be excluded, you may not:

  1. Reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code;
  2. Rent, lease, sell, sublicense, redistribute, or provide the Software to third parties, including as a hosted or bureau service;
  3. Circumvent or disable license enforcement, or share license keys;
  4. Remove proprietary notices;
  5. Use the Software to operate a trading service for other people or manage third-party funds unless you hold every registration and license the law requires of you for that activity.

Strategies, configurations, and data files you create are yours — nothing in this section restricts them.

4. Ownership

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in the Software. Third-party open-source components are governed by their own licenses, which prevail for those components.

5. Updates and support

We may provide updates that modify or remove features. Updates are covered by this Agreement unless accompanied by new terms. Support is available by email and through the Software’s Support page. We have no obligation to maintain compatibility with any particular broker API, which brokers may change or withdraw at any time.

6. Privacy

The Software is local-first: your trading data stays on your computer, as described in the Privacy Policy. License and update checks send your license key and license file, a hashed hardware identifier, your computer’s name and local network addresses, and the Software’s version, platform and a checksum of its files. They don’t include your trading data.

7. Trading-risk acknowledgment

You acknowledge that: trading involves substantial risk of loss and is not suitable for every investor; the Software is a tool and does not provide investment advice or assure any outcome; simulated results differ from live results; automated trading carries additional risks including software defects and connectivity failures; and you are solely responsible for your trading decisions, your strategies, your risk-control configuration, and your compliance with the laws of your jurisdiction. The Risk Disclosure is incorporated into this Agreement.

8. Warranty disclaimer

THE SOFTWARE IS PROVIDED “AS IS”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR WILL PRODUCE ANY TRADING RESULT. YOU BEAR THE ENTIRE RISK AS TO ITS QUALITY AND PERFORMANCE. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR TRADING LOSSES, LOST DATA, OR LOST OPPORTUNITY, ARISING FROM OR RELATING TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE GREATER OF (a) THE AMOUNTS YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (b) FIFTY US DOLLARS (US$50). Nothing in this Agreement limits liability that cannot be limited by law.

10. Termination

This Agreement is effective until terminated. It terminates automatically if you materially breach it; you may terminate at any time by uninstalling the Software. On termination, your license ends and you must cease use — but your local data files remain yours, on your disk. Sections 3, 4, and 7–11 survive termination.

11. General

This Agreement is governed by the laws of [PLACEHOLDER: governing jurisdiction]. It is the entire agreement regarding the Software and supersedes prior discussions. If any provision is unenforceable, the remainder stands. Failure to enforce a provision is not a waiver. You may not assign this Agreement; we may assign it in connection with a merger or sale.
